HaloYKL Terms of Service

HaloYKL ("we", "us", "our", "the Service") is operated by HaloYKL, based in Ontario, Canada. The Service is the Halo Marketplace: buying and selling new or pre-owned items between users for local pickup. HaloYKL operates as a nationwide peer-to-peer marketplace servicing all provinces and territories across Canada. We reserve the right to add, modify, or remove features at any time.

HaloYKL acts purely as a peer-to-peer connection facility. We do not own, inspect, store, test, appraise, or take title to any item listed on the Service, and we are not the buyer, the seller, or an agent of either. Our only role is to connect users and to hold the payment in escrow until the buyer confirms the item was received.

HaloYKL holds absolute zero liability for structural or mechanical product defects, vehicle titles, liens, or registration status, condition status variances between a listing and the item delivered, item authenticity or legality, and the conduct or safety behaviours of any user during local face-to-face handshakes and exchanges.

You must be at least 18 years old to use HaloYKL. This single age requirement applies platform-wide, to every part of the Service, including buying or selling on the Halo Marketplace. By using the Service you represent that you are 18 or older. We reserve the right to terminate accounts that do not meet this requirement.

You must create an account to use HaloYKL. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at supporthaloykl@gmail.com if you suspect unauthorized access to your account. You agree to provide accurate, current, and complete information when creating your account and to update it as necessary.

Meeting in person to buy or sell an item carries real-world risk. To the maximum extent permitted by law, you assume that risk and agree that HaloYKL is not liable for personal injury, property damage, theft, loss, product defects, misrepresented condition, defective or encumbered vehicle titles, or the acts or omissions of any buyer or seller you meet through the Service. Emergencies should go to local emergency services first, and then be reported to us at supporthaloykl@gmail.com.

Buyers may cancel any local escrow order for a 100% full refund at any time up until the physical meetup is finalized and confirmed inside the application interface. Late cancellations or repetitive marketplace abandonment actions may result in temporary account restrictions at the platform's discretion. No percentage-based monetary penalties apply to buyer cancellations.

If the seller fails to show up for a confirmed pickup, you receive a full refund. Refunds are returned to your original payment method and can take a few business days to appear.

Reports or disputes regarding a completed order must be submitted within 7 days of completion, except for property damage claims, which may be submitted within 14 days. Reports submitted after this window will not be eligible for automatic review but may be raised directly with HaloYKL support at our discretion.

The window is calculated per order, starting from the time that order was marked complete in the app. Once it closes, the report button on that order is disabled and you can contact us at supporthaloykl@gmail.com instead.

Every order comes with a private message thread between the buyer and the seller. You agree that:

• Messages are for coordinating that order only, and must not be used for harassment, spam, solicitation, or to arrange payment outside HaloYKL
• HaloYKL staff can read order messages when needed for safety, fraud prevention, support, or dispute resolution, and may retain them for our records
• Messages may be disclosed where required by law or to protect the rights or safety of any person
• You should not share financial details, passwords, or government identification in order messages

Any account in good standing can list items on the Halo Marketplace. You may only list items you own and are legally entitled to sell, your listing must accurately describe the item and its condition, and you must be able to hand the item over for local pickup. We may decline, remove, or unpublish a listing at any time, and repeated inaccurate listings or no-shows may result in removal from the platform.

Halo Marketplace lets users list and purchase pre-owned or new items for local pickup ("Marketplace Purchases"). Sellers are independent individuals, not HaloYKL employees or agents, and are solely responsible for the accuracy of their listings and the condition of items sold. HaloYKL does not inspect, verify, or warrant any item listed.

Buyer payment is collected in full at time of purchase and held by Stripe until the transaction is confirmed complete by the buyer, or automatically released to the seller 12 hours after the scheduled pickup time if no action is taken. This 12 hour window applies to every Marketplace order, regardless of how the exchange takes place.

Buyers may report an issue with an item before confirming receipt to pause release of funds pending review by HaloYKL.

HaloYKL charges sellers a service fee deducted at time of payout: a single percentage of the sale price or a minimum fee, whichever is greater, both displayed in-app. During promotional periods sellers are instead charged only the payment processing rate that covers the cost of secure payment processing, and HaloYKL earns no platform commission. Earned referral rewards may also reduce or eliminate the HaloYKL portion of the fee. Buyers pay the listed price with no additional buyer fee.

HaloYKL's standard Marketplace seller fee (rate and minimum) is displayed in-app and may change over time. HaloYKL may, at its discretion, offer temporary promotional periods at the processing-only rate, as configured and disclosed in-app; the standard fee resumes automatically when a promotion ends. The current fee, including any minimum, is always displayed before a seller creates a listing.

When a promotional period is offered, it runs for 7 days from its scheduled start, as configured in-app. During the promotion sellers are charged only the secure payment processing rate (3.5%) and HaloYKL earns no platform commission; the standard fee, including its minimum, resumes automatically when the promotion ends.

Sellers may remove or mark a listing as sold, unavailable, or no longer for sale at any time before a purchase is completed.

HaloYKL is a pure technology facilitation platform and is not a party to any transaction. HaloYKL holds absolute zero liability for the physical condition, mechanical safety, legality, or authenticity of any vehicles, electronics, or goods transacted. Users who intentionally or unintentionally bypass the secure inside-app escrow system to engage in external cash handshakes or e-transfers waive all platform protection layers. HaloYKL holds zero liability or tracking capability for off-platform cash exchanges, and platform support cannot arbitrate, review, or recover funds for off-platform transactions.

Users are solely responsible for their own safety during in-person exchanges. HaloYKL may suggest public meetup locations but does not guarantee their safety, availability, or suitability.

Marketplace Purchases are final sale once the buyer confirms receipt or 12 hours pass after the scheduled pickup with no report filed. We do not offer change-of-mind returns on Marketplace Purchases. Reporting a non-received or misrepresented item before confirming is the only way to pause a payout for review.

A referral only counts once the person you invited completes a real paying transaction on HaloYKL. Signing up alone never earns you a reward.

Referral rewards are granted as free 3-day premium listing profile Boosts or sequential free months of Halo Pro membership tiers. Founding Referrer status unlocks an exclusive 25-sale commission-free window where the platform waives its 5% application fee and the user only covers raw Stripe card processing costs.

Free Boosts, free Halo Pro months, and Founding Referrer status are tied to the account that earned them and are not resellable, transferable, or convertible to cash. HaloYKL may withhold or reverse rewards obtained through fraud, self-referral, duplicate accounts, or transactions that are later refunded or reversed.

When you upload screenshots, text, images, or any other content to HaloYKL ("User Content") you represent and warrant that:

• You have the legal right to share that content
• The content does not violate any third party's privacy, intellectual property, or other rights
• The content does not contain illegal material

You grant HaloYKL a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service. We do not claim ownership of your User Content. We do not sell your User Content.

You agree not to use HaloYKL to:

• Harass, abuse, threaten, or harm any person
• Generate content intended to deceive, defraud, or manipulate others
• Upload illegal content or content that violates third party rights
• Attempt to reverse engineer, copy, or replicate the Service
• Use the Service for any unlawful purpose under applicable law
• Share account access with other individuals
• Circumvent usage limits or attempt to access features without payment
• Generate spam, phishing content, or malicious communications
• Violate the terms of service of any third party platform using content generated by HaloYKL

Violation of these terms may result in immediate account termination without refund.

HaloYKL, its name, logo, design, and all associated technology are the intellectual property of HaloYKL. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without express written permission.

Listing text, photos, and other material you upload to HaloYKL remain yours.

HaloYKL respects intellectual property rights and complies with the Digital Millennium Copyright Act. If you believe any content on our platform infringes your copyright, please send a written DMCA notice to supporthaloykl@gmail.com including:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material on our platform you claim is infringing
• Your contact information including name, address, telephone number, and email
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

We will respond to valid DMCA notices promptly and remove infringing content where appropriate.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HALOYKL DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HALOYKL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR DAMAGE TO REPUTATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 CAD.

HaloYKL holds zero liability or tracking capability for off-platform cash exchanges, and platform support cannot arbitrate, review, or recover funds for off-platform transactions.

You agree to indemnify, defend, and hold harmless HaloYKL and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third party rights.

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF HALOYKL SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST HALOYKL.

THIS AGREEMENT IS AN INDIVIDUAL BINDING ARBITRATION AGREEMENT. YOU AND HALOYKL EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO ANY CLAIM, THAT CLAIM ALONE IS SEVERED AND PROCEEDS IN COURT, AND THE REMAINDER OF THIS ARBITRATION AGREEMENT STAYS IN FORCE. NOTHING HERE LIMITS ANY NON-WAIVABLE RIGHT YOU HOLD UNDER APPLICABLE CANADIAN PROVINCIAL CONSUMER PROTECTION LEGISLATION.

Before initiating arbitration either party must first send written notice of the dispute to the other party and attempt to resolve it informally for 30 days.

Arbitration shall be conducted in Ontario, Canada under applicable arbitration rules. Each party shall bear their own costs unless the arbitrator determines otherwise.

This arbitration clause does not prevent either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

HaloYKL reserves the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any reason we deem appropriate, with or without notice. Upon termination your right to use the Service ceases immediately. Subscription fees are non-refundable upon termination for Terms violations.

You may close your account at any time from Account → Delete accountinside the app. Deletion permanently removes your account profile, active watchlists, chat communication records, and posted listings across Canada. This action is instantaneous and cannot be reversed. Active premium memberships must be cancelled prior to executing account deletion. Your use of HaloYKL is governed by our Privacy Policy which is incorporated into these Terms by reference. By using the Service you consent to the collection and use of your information as described in the Privacy Policy.

We may update these Terms at any time. When we make material changes we will notify you by email or in-app notification and update the version number and date at the top of this document. Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms you must stop using the Service.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms together with our Privacy Policy constitute the entire agreement between you and HaloYKL regarding the Service and supersede all prior agreements and understandings.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the courts of Ontario, Canada.
